Terms of Service

Nosh, NoshApp.ca. Effective date: November 2, 2026.

1. Acceptance of Terms

Welcome to Nosh. These Terms of Service ("Terms") govern your access to and use of the Nosh mobile application and website at NoshApp.ca (collectively, the "Service"), operated by Craig Reidel ("Nosh," "we," "our," or "us"), a company based in Waterloo, Ontario, Canada.

By downloading, installing, or using the Nosh App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

We reserve the right to update these Terms at any time. We will post material changes on this page and mention them in the App's release notes. Your continued use of the Service after such changes are posted constitutes your acceptance of the updated Terms.

2. Description of Service

Nosh is a hyperlocal restaurant deals aggregator that surfaces dine-in restaurant deals, happy hour specials, daily specials, and limited-time offers from restaurants in the Kitchener-Waterloo region and other supported cities across Canada.

The Service allows you to:

• Browse and search restaurant deals by location, cuisine, day, and other filters
• Save deals to your device for easy reference
• View restaurant profiles and contact information

The Service is provided for personal, non-commercial use only. Nosh does not process payments or facilitate transactions between you and restaurants.

3. Deal Accuracy Disclaimer

IMPORTANT: Nosh aggregates deal information from restaurant websites, self-submitted listings, and other publicly available sources. We make no warranties or representations regarding the accuracy, completeness, timeliness, or availability of any deal listed on the Service.

• Deals may have changed, expired, or been discontinued without notice.
• Prices, terms, and availability are subject to change at the discretion of individual restaurants.
• Nosh is not responsible for any discrepancy between a deal as listed on the Service and what a restaurant actually offers.
• Always confirm deal details directly with the restaurant before visiting.
• Nosh does not guarantee that any deal will be honoured by any restaurant.

YOUR USE OF ANY DEAL INFORMATION OBTAINED THROUGH THE SERVICE IS AT YOUR OWN RISK. NOSH SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING FROM YOUR RELIANCE ON DEAL INFORMATION.

4. User Conduct

By using the Service, you agree that you will not:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to reverse engineer, decompile, or disassemble any portion of the Service
• Use any automated means, bots, scrapers, or data mining tools to access or collect data from the Service
• Interfere with or disrupt the integrity or performance of the Service or its servers
• Attempt to gain unauthorized access to any portion of the Service or related systems
• Use the Service to transmit spam, unsolicited communications, or malicious code
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service in any manner that could damage, disable, or impair the Service

5. Restaurant Listings and Deal Submissions

Restaurants that submit deals to Nosh agree to the following:

• All submitted deals must be accurate, currently active, and not misleading
• Deals must comply with all applicable laws, including Canadian competition and advertising laws
• Restaurants grant Nosh a non-exclusive, royalty-free license to display their deal information and restaurant details on the Service
• Nosh reserves the right to edit, reject, or remove any deal or restaurant listing at any time, without notice, at our sole discretion
• Repeated submission of inaccurate, misleading, or expired deals may result in suspension of a restaurant's account

Nosh is not responsible for deals submitted by restaurants. Restaurants are solely responsible for ensuring their listings comply with these Terms and applicable law.

6. Intellectual Property

The Nosh name, logo, app design, and all content created by Nosh (excluding restaurant-submitted content) are the property of Craig Reidel and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from any Nosh content without our express written permission.

Restaurant names, logos, images, and deal content remain the property of their respective owners. Nosh does not claim ownership of restaurant-submitted content.

7. Third-Party Services

The Service integrates with third-party services including Google Maps. Your use of these services within the App is governed by the respective third-party terms of service. Nosh is not responsible for the practices or content of any third-party services.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nosh does not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• Any deal information will be accurate, complete, or current
• Any errors in the Service will be corrected

Some jurisdictions do not allow the exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the fullest extent permitted by law.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, NOSH TECHNOLOGIES INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL NOSH'S TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED CANADIAN DOLLARS ($100 CAD).

These limitations apply regardless of the legal theory (contract, tort, negligence, or otherwise) and even if Nosh has been advised of the possibility of such damages.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimer of warranties, limitation of liability, and indemnification) shall survive.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in the City of Kitchener.

You agree to first attempt to resolve any dispute informally by contacting us at noshappsupport@gmail.com. We will attempt to resolve the dispute within 30 days of receiving your notice.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy available at NoshApp.ca/privacy, constitute the entire agreement between you and the company regarding the Service and supersede all prior agreements and understandings.
